OBWS Marketplace Seller Agreement

1. Introduction

Welcome to OBWS Marketplace!

This Seller Agreement (“Agreement”) outlines the terms and conditions that govern your use of OBWS as a seller. By listing and selling products on OBWS Marketplace, you agree to comply with the terms set forth in this Agreement.

2. Eligibility

To become a seller on OBWS Marketplace, you must:

3. Product Listings

Sellers are responsible for ensuring that all product listings are accurate, complete, and not misleading. Listings must include:

  • Clear product titles and detailed descriptions

  • High-quality images

  • Accurate pricing and shipping information

All listings must comply with applicable U.S. federal and state laws, including regulations related to product safety, labeling, and consumer protection.

4. Fees and Payments

  • Vendors pay a flat listing fee of $99/year to join the OBWS Marketplace, plus a 12% commission on each sale.
  •  Seller payouts are processed via the selected payment method within 5 business days after returns days passed that is set by seller.
  •  Where required by law, OBWS will collect and remit U.S. sales tax on behalf of sellers.
  • The sales tax portion is collected at checkout and does not reduce the seller’s earnings.
  •  For orders that include products from multiple sellers, each seller is responsible for shipping their respective items.
  • Shipping charges will be allocated accordingly to reflect each seller’s portion of the order

5. Order Fulfillment

  • Orders must be fulfilled within 2–3 business days of receipt.

  • Sellers must provide valid tracking information.

  • If a seller is unable to fulfill an order, they must notify the buyer and OBWS support immediately and issue a refund if needed.

6. Returns and Refunds

  • Sellers must clearly state their return and refund policies in each product listing.

  • All returns and refunds must comply with the seller’s stated policy and applicable consumer protection laws.

  • OBWS reserves the right to mediate disputes and may issue refunds on the seller's behalf when necessary.

7. Prohibited Items

The following are prohibited from being listed or sold:

  • Illegal, counterfeit, or stolen goods

  • Items infringing intellectual property rights

  • Weapons, hazardous materials, adult content, or other restricted goods

OBWS reserves the right to remove any listing at its sole discretion without prior notice or liability.

8. Intellectual Property

  • Sellers must own or have permission to sell the products listed.

  • By listing a product, the seller grants OBWS a non-exclusive, royalty-free license to use product images, descriptions, and content for marketing and promotional purposes.

9. Termination

  • OBWS may terminate a seller's account at any time for any reason, including but not limited to violations of this Agreement.

  • Sellers may request account termination by providing written notice with a 30-day notice period.

  • Upon termination, all listings must be removed and use of the platform must cease.

10. Limitation of Liability

OBWS is not liable for any direct, indirect, incidental, or consequential damages resulting from the use of the marketplace.
Sellers agree to indemnify and hold OBWS harmless from any claims, damages, or liabilities arising from their activities on the platform.

11. Amendments

OBWS reserves the right to update this Agreement at any time. Sellers will be notified of changes via email or the seller dashboard. Continued use of the platform constitutes acceptance of the updated terms.

12. Governing Law

This Agreement is governed by and interpreted in accordance with the laws of the United States, specifically the State of New York, without regard to conflict of law principles.
